Welcome to Semly ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") strictly govern your access to and use of the https://www.semly.in website and all related services, applications, and tools. By accessing this Platform, you are entering into a legally binding contract under the Indian Contract Act, 1872.
1.1. Designation: Semly acts solely as an "Intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000. We provide a platform for the aggregation and dissemination of publicly available educational resources, third-party content, and user-generated inquiries.
1.2. Safe Harbour Immunity: In strict accordance with Section 79 of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Semly shall not be liable for any third-party information, data, or communication link made available or hosted by us. Our role is strictly limited to providing access to a communication system over which information made available by third parties is transmitted or temporarily stored.
2.1. Nature of Material: The Platform aggregates publicly available university materials, previous year question papers (PYQs), public syllabi, and open-source study guides (collectively referred to as "Triple-Added Material").
2.2. Non-Commercial Distribution: Semly does not monetize, sell, or claim ownership over Triple-Added Material. These resources are distributed entirely free of charge to the public. Any monetization or subscription fees on the Platform are strictly and exclusively levied for server infrastructure, AI processing capabilities, and Semly's proprietary original content (see Section 4).
2.3. Legal Basis: The aggregation and distribution of these materials are conducted strictly under the "Fair Dealing" doctrine as enshrined in Section 52(1)(i) and Section 52(1)(a) of the Indian Copyright Act, 1957, which permits the reproduction of any work by a teacher or a pupil in the course of instruction, and for the purposes of private study or research. Semly operates merely as a digital conduit facilitating this statutory educational right.
3.1. Embedded Public Content: Semly embeds publicly available video lectures and educational content hosted on YouTube. This is accomplished exclusively using the official YouTube Embedded Player and YouTube Data API.
3.2. Strict Compliance: Semly operates in absolute compliance with the YouTube Terms of Service and YouTube API Services Terms of Service. We do not download, store, host, or alter any YouTube video files. We do not strip, bypass, or alter any advertisements served by the YouTube player. All views, watch time, and monetization revenues generated through the embedded player are directly credited to the original YouTube creators.
3.3. Implied License: By uploading videos to YouTube and permitting embedding (a setting controlled explicitly by the creator within YouTube Studio), creators grant third-party platforms like Semly an implied, worldwide, non-exclusive license to embed their content as per YouTube's governing Terms of Service. Semly claims no ownership over these embedded videos.
4.1. Absolute Ownership: While third-party content is provided under Fair Dealing, "Semly Handwritten Notes" and "Semly AI Models" are original literary and technological works created by Semly.
4.2. Copyright Protection: Semly holds the exclusive copyright to these proprietary materials under the Indian Copyright Act, 1957. You are granted a limited, revocable, non-transferable personal license to view these notes. You are strictly prohibited from downloading, reproducing, distributing, reselling, or displaying these proprietary notes on any other platform. Unauthorized distribution will result in immediate legal action for infringement and pursuit of liquidated damages.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEMLY BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PLATFORM.
Semly makes no representations or warranties regarding the accuracy, reliability, or completeness of any Third-Party Content, Triple-Added Material, or AI-generated outputs. All educational content is utilized strictly "AS IS".
These Terms shall be governed by and construed strictly in accordance with the laws of the Republic of India. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the competent courts located in New Delhi, India, and you irrevocably submit to the exclusive jurisdiction of such courts.
